BY-LAWS
ARTICLE
I
Club Membership
Sec. l. Club Membership in this Association
shall consist of USGA approved golf clubs located in the Southern Region of
Maine as defined by the Executive Board.
Sec. 2. Application for club membership shall be
made in writing to the Secretary.
Sec. 3. Any club from Southern Maine, eligible
for membership, may be admitted by a majority vote of the Executive Board.
ARTICLE
II
Individual Membership
Sec. 1. Any woman member of a member club,
possessing a valid handicap index which complies with the SMWGA membership
guidelines, may join the association through her club representative.
Sec. 2. Honorary membership may be conferred on
any individual who has contributed significantly to the advancement and
promotion of good golf in Southern Maine by a two-thirds majority vote of the
Board of Directors.
ARTICLE III Officers/Executive Board
Sec. 1. The
officers of this Association shall be: President, lst Vice President, 2nd Vice President, Treasurer, Assistant Treasurer, Recording Secretary,
Tournament Coordinator, Tournament Scheduler, Handicap Coordinator, Rules
Chairwoman, Auditor, Voucher Coordinator, and Rating Chairwoman. These Officers will be hereinafter
known as the “Executive Board.”
Sec. 2. The
Executive Board shall manage the affairs of the Association and bring
significant changes to the Board of Directors for a vote.
Sec. 3. The
officers of this association shall hold office for a two-year term. In case of
a vacancy of office, the Executive Board shall fill the vacancy.
Sec. 4. Officers
shall be elected by a majority vote of the Board of Directors at the fall
meeting of the election year, and every second year thereafter.
Sec. 5. Special meetings of the Executive
Board may be called by the President. The President shall appoint a nominating
committee of three members at the Spring meeting of the Board of Directors each
election year.

Board
The nominating committee shall prepare a slate of consenting candidates for election to office. This slate shall be reported to the Secretary, and shall be mailed with the agenda to members of the Board of Directors and presented at the Fall Meeting.
ARTICLE IV Board of Directors Sec. 1. The Board of Directors shall consist of
the Executive Board, all committee chairwomen and appointees, one
representative of each member club, and immediate Past President. In no event shall any club have more
than one vote.
Sec. 2. One more than half the number of member
clubs present in person shall constitute a quorum. The vote of the majority will stand.
Sec. 3. The Board of Directors shall meet at least twice a year at the call of the President or of any three officers. The agenda of business to be transacted shall be sent to each officer, committee chairwomen, appointees, and representatives two weeks in advance by the Secretary.
ARTICLE V Fiscal Year The fiscal year of the Association shall be January 1 to December 31.
ARTICLE VI Duties of the Officers Sec. l. The
President shall call and preside at all meetings of the Association. The President shall appoint the
Committees that are deemed necessary. In the absence of the President, the lst Vice
President shall preside. In the
absence of both, the 2nd Vice President then the Treasurer shall conduct the
meeting.
Sec. 2. The lst Vice President shall be in charge of the Year Book, and
is the liaison between the Club Representatives and the Board.
Sec. 3. The 2nd
Vice President shall be in charge of Publicity and Special Tournaments.
Sec. 4. The
Treasurer shall issue all bills for dues, collect all money due the
Association, and disburse same under the direction of the Executive Board.
Sec. 5. The
Assistant Treasurer shall assist the Treasurer, and Voucher Coordinator, as
needed.
Sec. 6. The
Recording Secretary shall keep a record of all meetings of the Executive Board
and Board of Directors.
Sec. 7. The
Tournament Coordinator shall be responsible for overseeing the weekly
tournaments.
Sec. 8. The
Tournament Scheduler shall be responsible for establishing the tournament
schedule and assisting the Tournament Coordinator.
Sec. 9. The
Handicap Coordinator shall keep a record of all tournaments held under the
auspices of the Association, and a membership list with handicap indices.
Sec.
l0. The
Rules Chairwoman shall acquaint the membership of any rule changes, and will be
a member of the Special Tournament Committee.
Sec. 11. The
Auditor shall audit the books, assist the 2nd Vice President with Special
Tournaments, and be the liaison to the Prize and Sunshine Committees and to the
Trustees of the SMWGA Scholarship Fund.
Sec. 12. The Voucher Coordinator shall disperse the weekly
prize vouchers and conversions to the Club Professionals.
Sec. 13. The Rating Chairwoman shall be responsible for rating all SMWGA courses.
ARTICLE VII Amendment
The
Board of Directors shall have the power to amend this Constitution and
By-Laws. Any amendment shall be presented
at any meeting of the Board of Directors. It shall be voted on at the next meeting of the Board of Directors, and
if passed, shall take effect immediately.
