CONSTITUTION

 

The name of this organization shall be “Southern Maine Women’s Golf Association” (SMWGA).

 

The SMWGA is organized exclusively for charitable and educational purposes, and to foster regional and national amateur sports competition within the meaning of section 501(c)(3) of the Internal Revenue Code (the Code). The purpose of the SMWGA is to promote amateur golf throughout southern Maine particularly for women and girls; to sponsor and conduct amateur golf tournaments throughout southern Maine each year;  to educate and inform its members as well as members of the public of changes in the Rules of Golf; to foster by regulation and example respect for the Rules and the game of golf; to provide opportunities for girl’s junior golf in southern Maine; to carry on any other activities in connection with and in furtherance of these purposes; and to have and exercise all the powers conferred by the laws of the State of Maine as are in furtherance of the purposes herein set forth.

 

No substantial part of the activities of the SMWGA shall be the carrying on of propaganda or otherwise attempting to influence legislation and the SMWGA shall not participate in or intervene in (including the publishing or distributing of statements) any political campaign on behalf of, or in opposition to, any candidate for public office.

 

No part of the net earnings or principal of the SMWGA shall inure or be payable to or for the benefit of any member, officer, private person, or member club, except that the SMWGA shall be authorized and empowered to pay reasonable compensation for services rendered, and to make other payments in furtherance of the purposes herein set forth.  Upon the final dissolution of the SMWGA, the proper officers shall, after making provisions for payment of all legitimate outstanding obligations, distribute all remaining assets to another charitable organization qualified  under the provisions of § 501(c)(3) of the Code, or corresponding section of any future federal tax code.

 

Notwithstanding any other provision herein, the SMWGA shall not carry on any activities not permitted to be carried on by an entity exempt from federal income tax under § 501(c)(3) of the Code, or by an entity contributions to which are deductible under § 170(c)(2) of the Code.

 

This constitution may be amended at any meeting of the Association by a two-thirds vote of its Board of Directors present at the meeting.  Provided, however, that no amendment shall authorize the SMWGA to conduct its affairs in any manner or for any purpose contrary to the provisions of § 501(c)(3) of the Code.

 

The Southern Maine Women’s Golf Association was founded in 1976 to promote the sport of amateur golf for women and junior girls in southern Maine.  We, the duly authorized officers of the SMWGA, affirm that the membership has associated with the intention of forming an organization and have accepted the above Constitution as restated.
